1. Introduction

Welcome to Invest in Shopika, a service provided by Shopika Enterprise Ltd ("we," "us," "our"). These Terms and Conditions govern your use of our investment platform and services.

By registering for an account or making an investment through our platform, you agree to be bound by these Terms and Conditions and our Privacy Policy. If you do not agree with any part of these terms, you must not use our services.

2. Investment Services

2.1. Investment Products

We offer the Shopika Growth Note, a 12-month investment product with a fixed interest rate of 8% per annum. The minimum investment is KES 5,000 and the maximum is KES 500,000 per investor.

2.2. Investment Process

• Investments are made through M-Pesa payments
• Upon successful payment, you will receive an investment certificate
• Your investment will mature after 12 months
• Principal and interest will be paid out via M-Pesa upon maturity

3. Investor Eligibility

To use our services, you must:

• Be at least 18 years old
• Be a resident of Kenya
• Have a valid M-Pesa account registered in your name
• Provide accurate and complete registration information
• Have the legal capacity to enter into binding contracts

4. Account Registration

When you create an account with us, you must provide accurate and complete information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Promptly updating your information if it changes
• Notifying us immediately of any unauthorized use of your account

5. Investment Risks

You acknowledge and understand that:

• Investments carry inherent risks, including the potential loss of principal
• Past performance is not indicative of future results
• Returns are not guaranteed and are subject to business performance
• Economic conditions may affect investment outcomes
• You should carefully read our Risk Disclosure statement before investing

6. Fees and Charges

Currently, we do not charge any fees for:

• Account registration
• Investment processing
• M-Pesa deposit transactions
• Payout transactions at maturity

We reserve the right to introduce reasonable fees with 30 days' prior notice to investors.

7. Termination

We may suspend or terminate your account if:

• You breach these Terms and Conditions
• We suspect fraudulent or illegal activity
• Required by law or regulatory authorities
• We discontinue the service (with appropriate notice)

Upon termination, your right to use our services will immediately cease.

8. Limitation of Liability

To the maximum extent permitted by law, Shopika Enterprise Ltd shall not be liable for:

• Any indirect, incidental, or consequential damages
• Loss of profits, data, or business opportunities
• Investment losses resulting from market conditions
• Events beyond our reasonable control (force majeure)

9. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of Kenya. Any disputes shall be subject to the exclusive jurisdiction of the courts of Kenya.

10. Changes to Terms

We reserve the right to modify these Terms and Conditions at any time. Changes will be effective upon posting on our website. Your continued use of our services after changes constitutes acceptance of the modified terms.
